Terms of Service

Last updated: 15 October, 2026.

These terms are an agreement between you and KEEP OS LTD (“KeepOS”, “we”, “us”). They govern your use of the KeepOS dashboard, the keepos.app consumer app, business websites built on KeepOS, and the messages we send.

By creating an account, or by ordering, booking or paying through KeepOS, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.

1. The service

KeepOS provides software for retail and hospitality businesses: point of sale, order and booking management, inventory and production tracking, invoicing, websites, room and smart-lock management, and customer notifications. Features depend on the plan a business subscribes to and may change over time.

2. Accounts

  • You must be at least 18 and give accurate information.
  • You are responsible for your account and everything done with it, including by staff you invite.
  • Keep your password safe and tell us at once if you think your account has been used without permission.
  • A business owner decides which staff can use the account and what each role can do.

3. Businesses using KeepOS

If you use KeepOS to run a business, you agree that:

  • You are responsible for your products, services, prices, stock, rooms and bookings, and for honouring what you sell.
  • You have a lawful basis to collect and use your customers’ data, and will use it in line with data protection law and our Privacy Policy.
  • You will only send promotional messages, such as coupons, where the law allows, and will respect customers who opt out.
  • You are responsible for taxes and records relating to your sales.
  • For hotels: smart-lock door codes depend on third-party hardware and networks. You remain responsible for guest access and must keep another way to let guests in.

4. Customers and guests

When you order, book or pay through KeepOS, your contract for the goods or stay is with the business, not with KeepOS. Questions about an order, booking, refund or the quality of what you received should go to that business. We provide the platform that connects you.

5. Fees and payments

Businesses pay subscription fees for their plan, billed in advance. Fees are shown before you subscribe and are non-refundable except where the law requires otherwise. If a subscription lapses, some features are limited until it is renewed.

Payments to businesses are processed by third-party payment providers under their own terms. Payment-provider fees and payout timings are set by those providers.

6. Messages

KeepOS sends transactional messages, such as verification codes, order updates, booking details and door codes, by WhatsApp, SMS or email. We try WhatsApp first and use SMS as a fallback, but we cannot guarantee a message will be delivered, as delivery depends on carriers and third-party platforms. You can stop promotional WhatsApp messages by replying STOP.

7. Acceptable use

You must not use KeepOS to:

  • break any law or sell anything illegal;
  • send spam or messages people have not agreed to receive;
  • defraud customers or misrepresent prices;
  • access another business’s data or try to bypass security;
  • disrupt, overload or reverse-engineer the service; or
  • upload malicious code or content that infringes others’ rights.

8. Your data

Businesses own the data they put into KeepOS. You give us permission to store and process it only to provide and improve the service, as described in the Privacy Policy. You can export your data or ask us to delete it by emailing hello@keep-os.com.

9. Intellectual property

KeepOS, its software, design and branding belong to KEEP OS LTD. We give you a limited, non-transferable right to use the service under these terms. Content you upload, such as menus, product photos and logos, stays yours.

10. Availability and changes

We work to keep KeepOS available but do not promise it will be uninterrupted or error-free. We may perform maintenance, change features, or stop offering parts of the service, and will give reasonable notice of significant changes where we can.

11. Liability

KeepOS is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, lost data, or losses caused by third-party services such as payment providers, messaging platforms or smart-lock hardware.

Our total liability to a business for any claim is limited to the fees it paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Suspension and termination

You can close your account at any time. We may suspend or close an account that breaks these terms, fails to pay, or puts other users at risk, with notice where possible. After closure, we delete your data as described in the Privacy Policy, except what the law requires us to keep.

13. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute informally; if that fails, the courts of Nigeria have jurisdiction.

14. Changes to these terms

We may update these terms. The date at the top shows when they last changed. If a change is significant, we will tell business users before it takes effect. Continuing to use KeepOS after that means you accept the updated terms.
